1. Acceptance of Terms

By accessing and using the TJX Canada Continuous Improvement Platform ("the Platform"), you accept and agree to be bound by the terms and provisions of this agreement. This Platform is provided by TJX Canada ("Company", "we", "us", or "our") for use by authorized employees and partners only.

2. Authorization and Access

2.1 Authorized Users: Access to the Platform is restricted to employees with valid corporate email addresses ending in @tjxcanada.ca or @tjx.com.

2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2.3 User Roles: Access levels are assigned based on your role (CI Manager, Viewer, or Administrator) and cannot be modified without proper authorization.

3. Permitted Use

3.1 Purpose: The Platform is intended solely for managing and tracking continuous improvement projects across TJX Canada distribution centers in Canada.

3.2 Prohibited Activities: You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorized access to any portion of the Platform
  • Upload or transmit viruses, malware, or any malicious code
  • Interfere with or disrupt the integrity or performance of the Platform
  • Share your login credentials with unauthorized individuals
  • Extract data for purposes other than authorized business use
  • Reverse engineer, decompile, or disassemble any aspect of the Platform

4. Data and Confidentiality

4.1 Proprietary Information: All data, projects, reports, and information on the Platform are the confidential and proprietary property of TJX Canada.

4.2 Data Security: We implement AES-256 encryption and enterprise-grade security measures to protect your data. However, no system is completely secure, and you acknowledge the inherent risks of electronic data transmission.

4.3 Data Retention: We retain your data in accordance with company policies and applicable data protection regulations.

5. Intellectual Property

5.1 Ownership: All rights, title, and interest in and to the Platform, including all intellectual property rights, are and will remain the exclusive property of TJX Canada.

5.2 User Content: By submitting project information and data to the Platform, you grant us a license to use, store, and display such content solely for the purpose of operating the Platform.

6. Compliance and Regulations

6.1 Data Protection: We comply with applicable data protection laws, including GDPR and regional privacy regulations.

6.2 Export Controls: You agree to comply with all applicable export and import control laws and regulations.

6.3 Corporate Policies: Your use of the Platform is subject to all applicable TJX Canada corporate policies and codes of conduct.

7. Monitoring and Auditing

7.1 System Monitoring: We reserve the right to monitor all activities on the Platform for security, compliance, and operational purposes.

7.2 Audit Logs: All user actions are logged with timestamps for security and audit purposes.

7.3 Investigation: We may investigate suspected violations of these Terms and cooperate with law enforcement authorities.

8. Modifications to Service

8.1 Platform Changes: We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

8.2 Terms Updates: We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the modified terms.

9. Disclaimers and Limitations

9.1 Service Availability: The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.

9.2 Limitation of Liability: To the maximum extent permitted by law, TJX Canada shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

9.3 Technical Issues: We do not guarantee that the Platform will be error-free, secure, or available at all times.

10. Termination

10.1 Account Termination: We reserve the right to suspend or terminate your access to the Platform at any time for any reason, including violation of these Terms.

10.2 Effect of Termination: Upon termination, your right to use the Platform will immediately cease. Sections relating to confidentiality, intellectual property, and limitations of liability will survive termination.

11. Indemnification

You agree to indemnify and hold harmless TJX Canada and its affiliates, officers, agents, and employees from any claim or demand arising out of your breach of these Terms or your violation of any law or rights of a third party.

12. Governing Law

12.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.

12.2 Dispute Resolution: Any disputes arising from these Terms or use of the Platform shall be resolved through binding arbitration in accordance with company policy.

13. General Provisions

13.1 Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding use of the Platform.

13.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
